1. Description of the Agreement

This public contract (hereinafter referred to as the “Agreement”) represents a legal agreement between you (hereinafter referred to as the “Client”) and ithappy (hereinafter referred to as the “Seller”), regulating the terms and conditions of purchasing and using 3D models provided by the Seller through our website ithappy.store.

Please carefully review the terms of this Agreement before purchasing and using 3D models from our website. If you do not agree with any of the terms, we kindly ask you to refrain from purchasing and using 3D models.

2. Subject of the Agreement

2.1. The Seller grants the Client the right to purchase and use 3D models available on the ithappy.store website. The Client acquires the right to use the 3D models in accordance with the selected license, which determines the scope of application, restrictions, and Client’s rights.

2.2. The rights to the 3D models are transferred to the Client exclusively in electronic format. The Client does not acquire ownership of the 3D models but only the right to use them according to the terms of the chosen license.

2.3. The Seller guarantees that all information provided about the 3D models on the website is accurate and reliable. However, the Seller is not responsible for errors, typos, or inaccuracies in the descriptions of the 3D models.

2.4. The Seller reserves the right to make changes to the range of offered 3D models, prices, terms of use, and other parameters without prior notice to the Client. However, such changes do not affect 3D models already purchased and paid for by the Client.

3. Licensing

3.1. Depending on the license selected by the Client, the Client obtains the right to use the 3D models in accordance with the terms specified in the respective license.

3.2. For the Single license, the Client is granted the right to use the 3D models in personal and commercial projects, including the creation of applications, animations, visualizations, and other creative works, for both personal and company or organizational use.

3.3. For the Multi license, the Client is granted the right to provide access to the 3D models to multiple users within their organization, including subsidiary companies and branches. The users granted access have the right to use the 3D models in their projects in accordance with the license terms.

4. Usage Restrictions

4.1. The Client is not permitted to transfer, sell, lease, license, or otherwise distribute the 3D models to third parties without explicit written consent from the Seller.

4.2. The Client is not allowed to place the 3D models acquired under the license on marketplaces or other resources for the purpose of selling and generating income.

4.3. The Client undertakes to respect copyright and restrictions associated with the use of the 3D models to maintain fairness and ethics within the 3D community.

5. Payment

5.1. The Client has the option to make payments for the purchase of 3D models through the PayPal payment system.

5.2. PayPal provides various payment methods, including the use of credit cards and other available payment methods.

5.3. All payments must be made in the currency specified on the Seller’s website.

5.4. The Client is responsible for the accuracy and sufficiency of the information provided when making a payment.

5.5. The Seller is not responsible for any issues or delays related to payments made through PayPal and recommends reviewing the terms of use of the payment system.

5.6. The Client agrees to comply with the agreement between them and PayPal. In case of disputes or issues regarding payment processing, the Client should directly contact PayPal to resolve any disputes or issues related to payment processing.

6. Warranties and Liability

6.1. All 3D models are provided by the Seller without any explicit or implied warranties regarding their functionality, accuracy, or suitability for specific client needs.

6.2. The Client acknowledges that the use of 3D models may involve risks, and the Seller is not responsible for any losses, damages, or issues arising from the use of the models.

7. Dispute Resolution

7.1. In the event of any disputes or disagreements between the company and the client regarding this public contract, the parties shall make every reasonable effort to resolve the dispute through negotiations and consultations.

7.2. If the dispute cannot be resolved through negotiations, the parties agree to resort to an alternative dispute resolution method, such as mediation or arbitration, in accordance with applicable laws and procedures.

7.3. Any legal proceedings, if necessary, shall be governed and conducted in accordance with the legislation of Georgia.
